Title Review & Due Diligence: A How To

Who:

This seminar is intended for landmen and other industry personnel who are responsible for coordinating the conduct of title review with outside counsel or those conducting due diligence reviews and rectifying title deficiencies when acquiring assets.

What:

This seminar will focus on the practical aspects of title and due diligence reviews when acquiring assets in Western Canada. Attendees will benefit from the suggestions presented to make the title review process involving outside counsel more cost-effective and efficient, enabling you to interpret the title opinion and use it as a working document in your land administration system. In addition, guidelines and procedures will be presented to enable internal land personnel to conduct due diligence reviews in circumstances where the involvement of outside counsel may not be merited. Finally, the process of deficiency rectification will be discussed as well as alternatives for dealing with unresolved deficiencies within the context of the business deal and the sale agreement.

Instructor(s):

John Parry

John is a Petroleum Landman who has worked in the industry since 1978.  John has experience in all aspects of exploration and development activity both in Canada and the United States, and has worked in all aspects of Land from Field Exploration to E&P Management. Currently John is a consulting Petroleum Landman serving clients operating in Alberta, B.C. and Saskatchewan. Previously John was the Land Manager at SkyWest Energy Corp., President of McMurray Energy Corp., a thermal heavy oil company and was a senior Mineral Negotiator with Canadian Natural Resources Limited.  John is a Graduate of the University of Calgary, member of the CALEP and is a Licensed Land Agent in Alberta.

Jesse W. Standing 

Jesse Standing is a fourth year associate in Dentons’ Calgary office, where he practices in the energy group. He regularly assists on commercial and oil and gas transactions, including asset and share acquisitions/dispositions in various capacities, including negotiating and drafting definitive agreements and conducting due diligence. Jesse has experience negotiating and drafting energy-related agreements, but also has expertise outside of the energy sector and can assist clients with their general commercial agreements and corporate matters. 

Hazel Saffery

Hazel is an experienced oil & gas practitioner, with almost 15 years in the industry working with both upstream and midstream companies.  Hazel specializes in complex joint venture, partnership and operation agreements with a particular focus on Western Canadian Sedimentary Basin oil and gas clients. Her natural resources experience often includes the negotiation of purchase and sale agreements, operational agreements and royalty agreements. Hazel is often called upon (internally and externally) to provide day-to-day advice on joint ownership and the conduct of joint operations in upstream operations.
