Royalty Agreements

Landmen, administrators and other senior oil and gas personnel who work closely with royalty agreements.

What:

This half-day seminar is designed to assist in interpreting and reviewing royalty clauses and agreements. It will examine the critical components of a royalty agreement, and will discuss such topics as: qualifying an overriding royalty (i.e. an interest in land vs. an interest in the proceeds from the sale of production); proper deductions in calculating an ORR; rights and obligations of the royalty owner and payor; and securing payment of an ORR. It should be noted that a seminar on the CAPL Royalty Procedure is offered on this day between the hours of 1:30 p.m. and 4:30 p.m. at the same venue.

Chris Harris

Chris Harris is an Associate in the Energy Group.  His practice is focused on a variety of energy-related matters, including purchase and sale agreements, joint ventures, midstream matters, project development, field services agreements, and acquisition and divestiture due diligence.  Chris has significant experience advising oil and gas companies on both transactional and day-to-day operational issues.  He also has experience advising clients on matters involving the engineering, procurement and construction of large-scale projects both within and outside the energy sector.

Chris joined Blakes in 2011.  He previously worked in the Calgary office of an international law firm.

Chris is an executive member of the Canadian Bar Association, Natural Resources Section - Alberta South.

Jana Prete

Jana Prete practices in the Business and Energy Groups.  The principle focus of her practice is oil and gas law, including co-ordinating and conducting due diligence review for oil and gas transactions, mergers and acquisitions involving oil and gas companies, and for financing of oil and gas companies; drafting and negotiating asset and share purchase and sale agreements and other industry specific agreements; and advising clients on matters relating to the acquisition and divestiture of oil and gas properties.  She also assists clients in incorporating new companies, preparing reorganization documents and other general corporate/commerical matters.

Jana is a member of the Canadian Petroleum Law Foundation (CPLF) and is an active member of the CPFL's organizing committee for its annual Kananaskis Seminar, which is directed towards junior lawyers.  She is also a member of the Canadian Bar Association's Natural Resources and Business Law Subsections.
